These Terms and Conditions (“Terms”) are an agreement between you and TradingAlpha, LLC (“Trading Alpha”, “we”, “us”). They apply to tradingalpha.io, the Alpha OS web application at app.tradingalpha.io, the AlphaX community, live shows, the Trading Alpha Discord, and any other product or service we provide (together, the “Service”).

By creating an account, buying a membership, or using the Service, you agree to these Terms, our Privacy Policy, our Subscriptions & Refunds policy and our Risk Disclosure. If you do not agree, do not use the Service.

Your membership agreement. Before a new membership is activated, you sign a membership agreement electronically through DocuSign. That signed agreement is part of your contract with us. If it conflicts with these Terms for the purchase it covers, the signed agreement controls.

1. Who can use the Service

You must be at least 18 years old, or the age of majority where you live if that is higher, and able to enter a binding contract. The Service is not directed to children, and we do not knowingly collect personal information from anyone under 13.

You are responsible for complying with the laws that apply to you, including if you use the Service outside the United States.

2. Educational and informational service

Alpha OS is market-analysis software and an educational service. It includes indicators, signals, screening, charts, market summaries, AI-generated explanations and a member community.

Nothing in the Service is investment, financial, tax or legal advice, and nothing is a recommendation to buy, sell or hold any security, cryptocurrency, currency, commodity or other asset. Trading Alpha is not a registered investment adviser, broker-dealer, commodity trading advisor or futures commission merchant. You alone are responsible for your trading decisions and their results. Please read the Risk Disclosure.

3. Your account

Creating your login. Paying members create their login at app.tradingalpha.io/register/ with the email address used at checkout. We email a link to that address only if it matches an active purchase.
One person per account. Your account, membership and any third-party access we grant (for example to a TradingView or Discord username) are for you alone. You may not share, resell, rent or transfer them, or let anyone else use your login.
Keep it secure. Keep your password confidential, and tell us promptly at manage@tradingalpha.io if you believe your account has been used without permission. You are responsible for activity under your account.
Accurate information. Keep your email and connected usernames accurate. Access to third-party platforms is granted to the usernames you give us.

4. Memberships and billing

Memberships are sold as described on our pricing page at the time of purchase. Billing, renewal, cancellation and refunds are governed by our Subscriptions & Refunds policy. Payments are processed by Stripe; we do not receive or store your full card details.

The features included in a membership are those described at purchase. We continually develop the Service and may add, change or retire features. Items described as “coming soon” are plans, not promises.

5. License and acceptable use

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own trading research and education while your membership is active.

You agree not to:

copy, redistribute, publish, resell or commercially exploit signals, screener results, charts, indicators, data, AI outputs or other content from the Service, except for limited personal sharing such as a screenshot of your own chart with attribution;
reverse engineer, decompile, scrape, crawl, or access the Service by automated means, or attempt to extract our indicator logic or underlying data;
circumvent access controls, rate limits or security features, or access accounts or data that are not yours;
use the Service to build a competing product or signal service;
use the Service in violation of any law or regulation, or of the terms of any third-party platform connected to it.

6. Third-party services

The Service relies on and connects to third parties, including Stripe (payments), DocuSign (agreements), Discord (community and roles), TradingView (where a membership includes access to TradingView scripts), SnapTrade (optional read-only brokerage connections), cloud and AI providers, and market-data providers. Your use of those platforms is governed by their own terms and policies, which can change.

Third-party access can change. Access delivered on another company’s platform depends on that platform’s rules. If a platform changes its policies, restricts or ends the access we can provide, or blocks an account, we are not responsible for that change, and it does not by itself entitle you to a refund. We will tell members about material changes that affect their membership.
Brokerage connections are read-only. If you connect a brokerage account through SnapTrade, we can read your account names, balances and holdings only. We cannot place, change or cancel orders, and we never receive your brokerage password. Alerts and stops in Alpha OS never place brokerage orders.

7. Market data, signals and AI features

Market data comes from third-party sources and may be delayed, incomplete or wrong. Signals and indicators are computed from that data on a schedule and can change as new data arrives, including during a candle that has not closed. AI features such as Alpha Guide and Market Focus can make mistakes or omit information. Always verify information independently before acting on it.

Charts and product screens on our marketing website use sample data for illustration and do not show real trades, signals or results.

8. Community: AlphaX, live shows and Discord

Before posting in AlphaX you must accept the AlphaX participation rules, which form part of these Terms. In summary:

Posts by other members are their opinions, not instructions to trade.
Describe your own entries, exits and results truthfully, including whether an idea is live, planned, hypothetical or historical.
Do not harass, threaten or impersonate anyone, or reveal another person’s private information.
Post only material you have the right to share. No scams, spam, unsolicited promotions, market manipulation, or unlawful content.
Do not offer paid services, solicit investments, or ask members for money.

Trade labels. A trade is labelled “Verified” only when the price you post actually traded in the market during the 30 minutes before you posted it. Otherwise it is labelled “Self-reported” and excluded from rankings and points. “Verified” means only that the price traded; it does not mean we checked the member’s account, position size or results, or that we endorse the trade.

Your content. You keep ownership of what you post. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display and distribute your content as needed to operate, promote and improve the Service, including showing it to the audience you choose. Copying your posts to X (Twitter) requires your separate opt-in to our sharing terms. You confirm you have the rights to everything you post.

Moderation. We may remove content and restrict or suspend participation at our discretion, including to protect members or comply with law. We do not review all content and are not responsible for content posted by members, guests or hosts. Hosts and moderators are not authorized to speak for Trading Alpha except where we say so.

9. Feedback

If you send us ideas or suggestions, we may use them without obligation or compensation to you.

10. Intellectual property

The Service, including our indicators, signal logic, software, designs, text, graphics, logos and the “Trading Alpha”, “Alpha OS” and “AlphaX” names, belongs to Trading Alpha or its licensors and is protected by intellectual-property laws. Except for the license in Section 5, these Terms give you no rights in it.

11. Suspension and termination

You may stop using the Service at any time; see the Subscriptions & Refunds policy for how to turn off renewal.

We may suspend or end your access, without refund, if you breach these Terms, share or resell access, initiate a payment dispute for a valid charge, misuse the community, or put the Service, other members or third-party platforms at risk. We may also end the Service or any part of it. If we end your paid membership for reasons other than your breach, we will provide a prorated refund for any unused prepaid period.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY SIGNAL, INDICATOR, DATA OR AI OUTPUT IS ACCURATE, COMPLETE OR TIMELY, OR THAT USING THE SERVICE WILL RESULT IN ANY PROFIT OR AVOID ANY LOSS.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRADING ALPHA AND ITS OWNERS, EMPLOYEES, CONTRACTORS, PARTNERS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

14. Indemnity

You agree to defend, indemnify and hold harmless Trading Alpha and its owners, employees, contractors and partners from claims, losses and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right.

15. Disputes, arbitration and class-action waiver

Talk to us first. Before starting a formal dispute, email manage@tradingalpha.io with a description of the issue. Both sides will try in good faith to resolve it within 30 days.

Binding arbitration. If we cannot resolve it, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. The arbitrator decides questions about the scope and enforceability of this agreement to arbitrate. Either party may instead bring an individual claim in small-claims court if it qualifies.

Class-action waiver. Disputes will be resolved only on an individual basis. Neither you nor we may bring or participate in a class, collective, consolidated or representative action or arbitration.

Governing law and venue. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Texas, and both parties consent to their jurisdiction.

16. Changes to these Terms

We may update these Terms. If a change is material, we will give notice by email or in the Service before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms. Changes do not apply retroactively to disputes already notified to us.

17. General

These Terms, together with the policies they reference and your signed membership agreement, are the entire agreement between you and us about the Service. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. Communications we send electronically satisfy any requirement that they be in writing.
